Violation of these prohibited activities may result in immediate suspension or termination of your account, cancellation of pending orders, and/or referral to appropriate law enforcement authorities. WingSnob reserves the right to pursue all available legal remedies in response to violations.

5. Ordering, Payment, and Pricing

5.1 Order Placement

When you place an order through our Site, you are submitting an offer to purchase the selected food items. WingSnob reserves the right to accept or reject any order at its sole discretion. Order confirmation does not constitute acceptance; acceptance occurs when we begin preparing your order.

We strive to ensure that all menu items and prices displayed on our Site are accurate. However, errors may occasionally occur. If we discover an error in the price or description of an item you have ordered, we will inform you as soon as possible and give you the option to either reconfirm your order at the correct price or cancel it for a full refund.

5.2 Payment Terms

• Federal Trade Commission (FTC) — consumer protection and unfair business practices;
• U.S. Food and Drug Administration (FDA) — food safety and labeling requirements;

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services ("Dispute") informally by contacting WingSnob at [email protected]. The parties shall have thirty (30) days from the date of notification to attempt good-faith resolution of the Dispute. If the Dispute cannot be resolved informally within this period, either party may proceed to binding arbitration as described below.

Except as otherwise provided herein, you and WingSnob agree that any Dispute that cannot be resolved informally shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, in the United States.

The arbitrator shall have the authority to award any remedy available at law or in equity, subject to the limitations set forth in these Terms. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Small claims court actions may also be brought, provided the claim qualifies and remains in small claims court.

14.5 Arbitration Costs

The costs of arbitration, including filing fees and arbitrator compensation, shall be allocated in accordance with the AAA Consumer Arbitration Rules. WingSnob will pay arbitration fees for claims under $10,000 unless the arbitrator finds the claim to be frivolous. Each party shall bear its own attorneys' fees, unless the arbitrator awards fees as part of the remedy.

15. Term and Termination

15.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Site or Services, or maintain an account with WingSnob.

15.2 Termination by You

You may terminate your account and cease using our Services at any time by contacting us at [email protected] and requesting account deletion. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations for completed orders.

15.3 Termination by WingSnob

WingSnob reserves the right to suspend or terminate your access to the Site and Services, with or without notice and without liability, for any reason, including but not limited to:

• Violation of these Terms or any applicable law;
• Fraudulent, abusive, or harmful conduct;
• Extended periods of account inactivity;
• Requests by law enforcement or government authorities;
• Business discontinuation or operational changes.

15.4 Effect of Termination

Upon termination: (a) your license to use the Site and Services immediately ceases; (b) you must cease all use of our Intellectual Property; (c) any pending orders may be cancelled at WingSnob's discretion. Sections of these Terms that by their nature should survive termination shall survive, including Sections 6, 8, 9, 10, 11, 13, 14, and 16.

WingSnob reserves the right to modify, update, or revise these Terms of Service at any time in its sole discretion. When we make material changes to these Terms, we will notify you by:

No waiver by WingSnob of any right or provision under these Terms shall be deemed a further or continuing waiver of such right or provision or a waiver of any other right or provision. WingSnob shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond WingSnob's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, power outages, internet service provider failures, terrorist acts, war, civil unrest, or supply chain disruptions. In the event of a force majeure event, WingSnob will use commercially reasonable efforts to resume normal operations as soon as practicable.
